Terms of Service

1. Acceptance

By creating a Dallio account or using the app you agree to these Terms. If you're agreeing on behalf of a company, you confirm you have the authority to do so.

2. The service

Dallio is a software-as-a-service product covering inventory, POS, sales team, marketing, accounting, and adjacent operational tools. We work hard to keep it up + improve it; we don't guarantee zero downtime.

3. Your account

  • You're responsible for keeping your login secret.
  • You're responsible for what your team members do under your account.
  • Notify us immediately if you believe an account has been compromised.

4. Acceptable use

You agree not to use Dallio to:

  • Break the law, sell prohibited goods, or facilitate fraud.
  • Scrape, reverse-engineer, or stress-test the service.
  • Impersonate other businesses or individuals.
  • Re-sell Dallio as a competing product without a written partnership agreement.

5. Pricing + billing

Plans + prices are listed on /pricing. You authorise us to charge your payment method on the cycle you chose (monthly / yearly). Refunds are pro-rated on yearly plans cancelled mid-cycle.

We may change prices with at least 30 days' notice. Existing yearly subscribers keep their current rate until renewal.

6. Payments & payouts

Dallio helps you accept payments from your customers, but Dallio is not a bank, payment processor, or money-transmitter, and never holds, controls, or takes custody of your money. Card and transfer payments are handled by the licensed third-party providers you connect (currently Paystack, Flutterwave, and Stripe). Money from your sales settles directly into the bank or provider account in your own name. It does not pass through any account Dallio owns or controls.

For payments we help you process, Dallio charges a 0.5% platform fee. Where we act as your technology platform (Paystack, Flutterwave) that 0.5% is applied automatically at settlement and you keep the rest; where the full amount settles to your own account (such as Stripe) the same 0.5% is billed from your Dallio wallet (see below). This fee is for Dallio's software and is separate from the processing fees Paystack, Flutterwave, or Stripe charge you under their own terms.

You are responsible for your own tax, licensing, and regulatory obligations on the money you receive. Refunds, chargebacks, and payment disputes are resolved between you, your customer, and the relevant provider under that provider's rules. Dallio can surface and reconcile them but does not adjudicate or fund them.

7. Wallet & credits

Your Dallio wallet holds prepaid credits for Dallio's own services, such as SMS and WhatsApp messages, AI features, and platform fees on payments we process for you. Credits are a prepaid balance for using Dallio. They are not stored value, electronic money, a deposit, or a general-purpose account, cannot be sent to other people or withdrawn as cash, and do not earn interest.

We deduct credits as you use the relevant service; if your balance runs out, those paid features pause until you top up. Top-ups are only credited after your payment is confirmed by the provider. Credits are non-transferable and, once spent, non-refundable except where the law requires otherwise; any unused top-up balance can be refunded when you close your account.

8. Your data

You own your data. We process it on your behalf as described in our Privacy Policy. On account closure we delete it within 30 days (including backups).

9. Service availability

We target 99.9% monthly uptime. We notify you of planned maintenance. Scale-plan customers receive SLA credits for unmet uptime targets. terms in the signed Order Form.

10. Termination

  • By you: any time, from Settings → Account → Close account.
  • By us: for non-payment after grace period, breach of acceptable use, or with 60 days' written notice for any other reason.

11. Limitation of liability

Dallio is provided "as is". To the extent permitted by law, our total liability for any claim is limited to the fees you paid us in the 12 months preceding the claim.

12. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict of laws rules. Disputes go to courts located in Travis County, Texas.

13. Changes to these terms

We update these Terms occasionally. Material changes get 14 days' email notice; the "Last updated" date at the top changes with every revision.
